Terms of Service
These Terms of Service, referred to as the “Terms,” govern access to and use of WardrobeIt’s websites, merchant applications, Merchant Portal, AI Shopping Assistant, storefront widget, Virtual Try-On features, integrations, analytics, documentation, support resources, and related services.
In these Terms, “WardrobeIt,” “we,” “us,” and “our” refer to WardrobeIt and the WardrobeIt contracting entity identified in your Order Form, subscription confirmation, checkout record, invoice, or other commercial agreement.
“You” and “Merchant” refer to the individual or organization accessing or using the Services.
By creating an account, accepting an Order Form, starting a trial, purchasing a subscription, connecting an ecommerce store, installing WardrobeIt, or otherwise using the Services, you agree to these Terms.
When you use the Services on behalf of a company, store, agency, or other organization, you represent that you have authority to accept these Terms on its behalf.
Do not access or use the Services if you do not agree to these Terms.
About WardrobeIt
WardrobeIt is an AI-powered ecommerce sales platform designed to help merchants guide shoppers through product discovery, product recommendations, Product and Store Q&A, comparison, Complete the Look, eligible Virtual Try-On, valid variant selection, cart actions, and supported commercial measurement.
WardrobeIt is a technology provider. It is not the seller, manufacturer, distributor, owner, merchant of record, fulfillment provider, payment processor, or legal representative of products offered by a Merchant unless expressly stated in a separate written agreement.
The Merchant remains responsible for its products, storefront, customers, commercial decisions, checkout, payments, taxes, shipping, fulfillment, returns, refunds, product claims, customer support, and compliance obligations.
Eligibility and Authority
You must be legally capable of entering into a binding agreement and must be at least the age of legal majority in your jurisdiction.
You may use the Services only for legitimate business purposes.
If you create an account using a business email address or on behalf of an organization, the organization may control the account and the Merchant Data associated with it.
You represent that:
- The information you provide is complete, current, and accurate.
- You have authority to connect the relevant ecommerce store.
- You have authority to provide WardrobeIt with access to the applicable catalog, storefront, systems, and business information.
- Your use of the Services complies with applicable laws, regulations, platform requirements, and third-party agreements.
- You are authorized to approve installations, integrations, configurations, and shopper-facing experiences.
Definitions
Authorized User means a person permitted by the Merchant to access the Merchant’s WardrobeIt workspace.
Merchant Data means information submitted, synchronized, uploaded, generated, or made available by or for the Merchant, including product data, catalog information, business information, brand content, store policies, configuration data, and integration information.
Shopper Data means information relating to individuals who interact with WardrobeIt through a Merchant’s storefront, including conversation content, product interests, interaction events, and images submitted for supported features.
Order Form means an ordering document, subscription confirmation, checkout record, proposal, statement of work, or other commercial document accepted by the Merchant and WardrobeIt.
Services means WardrobeIt’s websites, applications, Merchant Portal, AI Shopping Assistant, storefront experiences, features, analytics, integrations, documentation, trials, and related services.
Storefront Experience means the shopper-facing WardrobeIt interface installed or made available on a Merchant’s ecommerce store.
WardrobeIt Accounts
You may be required to create a Merchant account before accessing certain Services.
You are responsible for:
- Maintaining accurate account information.
- Protecting passwords and authentication credentials.
- Restricting account access to authorized individuals.
- Managing Authorized Users.
- Removing access when a user no longer requires it.
- Reviewing account activity and reporting suspected unauthorized use.
- Ensuring that all Authorized Users comply with these Terms.
You must not share accounts between unrelated organizations or allow unauthorized parties to use your credentials.
Notify WardrobeIt promptly at hi@wardrobeit.com if you suspect unauthorized account access, credential exposure, or a security incident involving the Services.
WardrobeIt may require email verification, additional authentication, or identity and authority confirmation before granting or restoring access.
Merchant Workspaces and Store Connections
Each Merchant workspace is intended to represent an approved business or ecommerce operation.
You must connect only stores and systems that you are authorized to manage.
You are responsible for confirming:
- The correct store is connected.
- The correct catalog is synchronized.
- The requested permissions are appropriate.
- Connected credentials belong to the applicable store.
- Merchant Data is suitable for use in the Services.
- Storefront installation is approved before publication.
WardrobeIt may reject, suspend, or disconnect a store connection where credentials are invalid, permissions are insufficient, security concerns exist, or continued access may violate applicable requirements.
You must not provide WardrobeIt with your personal ecommerce-platform password unless WardrobeIt expressly requests it through an approved secure workflow. You must not send passwords, full access tokens, API secrets, payment information, or other sensitive credentials through ordinary email or support messages.
License to Use the Services
Subject to these Terms, the applicable Order Form, and payment of required fees, WardrobeIt grants the Merchant a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for the Merchant’s internal business purposes.
The Merchant may permit its Authorized Users to use the Services within the limits of the applicable subscription.
The Merchant may not:
- Sell, resell, rent, lease, sublicense, or commercially distribute the Services without written approval.
- Copy or reproduce substantial parts of the Services.
- Reverse engineer, decompile, disassemble, or attempt to discover source code, models, system instructions, or non-public architecture.
- Bypass authentication, access controls, plan limits, rate limits, or security protections.
- Access another merchant’s workspace or data.
- Use automated tools to scrape or extract information except through an approved interface.
- Interfere with Service performance or availability.
- Create a competing product using protected elements of the Services.
- Remove proprietary notices.
- Use the Services in violation of these Terms or applicable law.
No rights are granted except those expressly stated in these Terms.
Merchant Responsibilities
The Merchant is responsible for the accuracy, completeness, legality, and suitability of Merchant Data.
The Merchant must maintain accurate and current information concerning:
- Products and collections
- Product descriptions
- Product images
- Variants and options
- Prices and sale information
- Availability
- Materials and specifications
- Size and fit information
- Care guidance
- Shipping and delivery information
- Returns and exchanges
- Promotions
- Brand claims
- Store policies
- Customer-support information
The Merchant must review WardrobeIt’s configuration and shopper-facing behavior before launch.
The Merchant is responsible for ensuring that its use of WardrobeIt does not:
- Mislead shoppers.
- Display unsupported product claims.
- Offer unavailable products or invalid variants.
- Misrepresent prices, promotions, delivery, or return rights.
- Violate advertising, consumer-protection, accessibility, privacy, or ecommerce requirements.
- Infringe intellectual-property or other third-party rights.
- Process data without an appropriate legal basis.
- Use WardrobeIt for prohibited or high-risk purposes.
WardrobeIt does not independently verify every product, policy, price, claim, or piece of Merchant Data.
AI Shopping Assistant
WardrobeIt uses artificial intelligence and related technologies to interpret shopper requests and provide product guidance based on available Merchant Data and configured information.
AI-generated responses may occasionally be incomplete, inaccurate, delayed, or unsuitable for a particular context.
The Merchant is responsible for:
- Reviewing the information made available to the assistant.
- Testing representative shopper questions.
- Maintaining accurate product and policy data.
- Defining appropriate support routes.
- Correcting inaccurate or outdated information.
- Monitoring shopper-facing behavior.
- Providing required notices that shoppers are interacting with an AI system.
WardrobeIt is designed to use merchant-approved catalog and knowledge sources. It must not be relied upon as the sole source of truth for legally significant, safety-critical, financial, medical, or professional decisions.
The Merchant must not represent WardrobeIt as a human sales representative.
Catalog-Only Recommendations
WardrobeIt is designed to recommend products from the Merchant’s connected and approved catalog.
Recommendation quality depends on factors such as:
- Catalog completeness
- Product attributes
- Product descriptions
- Variant structure
- Merchant configuration
- Shopper input
- Synchronization status
- Available product knowledge
WardrobeIt does not guarantee that every recommendation will be the best possible product for a shopper.
The Merchant’s ecommerce platform remains the final source of truth for:
- Product identity
- Variant validity
- Price
- Availability
- Promotions
- Cart contents
- Checkout
- Payment
- Fulfillment
WardrobeIt should not be used to create products, variants, prices, discounts, or claims that do not exist in the Merchant’s approved systems.
Product and Store Questions
WardrobeIt may answer shopper questions using Merchant Data, synchronized product information, and Merchant Knowledge.
The Merchant is responsible for reviewing and approving information concerning:
- Sizing
- Fit
- Materials
- Care
- Delivery
- Returns
- Exchanges
- Payments
- Promotions
- Brand information
- Product claims
When required information is missing, WardrobeIt may ask a clarifying question, indicate that the information cannot be confirmed, provide an approved support route, or decline to answer.
WardrobeIt does not guarantee that every question can be answered.
Virtual Try-On
Virtual Try-On is available only for supported products, categories, accounts, plans, and technical configurations.
Virtual Try-On provides an artificial visual preview. It does not guarantee:
- Exact fit
- Correct sizing
- Exact colour
- Accurate proportions
- Fabric behavior
- Product dimensions
- Physical appearance
- Shopper satisfaction
- A real-world result
The Merchant must clearly communicate these limitations to shoppers.
The Merchant is responsible for:
- Confirming product eligibility.
- Reviewing product images.
- Confirming product and colour mappings.
- Displaying approved shopper instructions.
- Providing required privacy and consent information.
- Selecting appropriate storefront placement.
- Testing the experience before publication.
- Excluding unsupported products.
- Maintaining an appropriate lawful basis for image processing.
Shoppers must not upload images they do not own or have permission to use.
The Merchant must not knowingly use Virtual Try-On to process images of children or minors unless WardrobeIt has expressly approved the use case and all applicable legal and safety requirements have been satisfied.
Virtual Try-On must not be used for biometric identification, medical analysis, body scoring, sensitive-trait inference, or discriminatory decision-making.
Image processing, retention, deletion, and security are governed by the applicable Privacy Policy, Merchant settings, and any applicable data-processing agreement.
Cart Actions and Checkout
WardrobeIt may support product selection, variant selection, quantity selection, and Add-to-Cart actions.
A cart action is not final until confirmed by the Merchant’s ecommerce platform.
WardrobeIt does not control or guarantee:
- Final inventory
- Final price
- Discount eligibility
- Tax calculation
- Shipping cost
- Delivery availability
- Payment authorization
- Checkout completion
- Order acceptance
- Fraud screening
- Fulfillment
- Returns or refunds
The Merchant remains responsible for the complete transaction and customer relationship.
Offers and Promotions
WardrobeIt may display Merchant-approved promotions where supported and configured.
The Merchant is responsible for ensuring that promotions are:
- Accurate
- Current
- Legally compliant
- Properly limited
- Consistent with the Merchant’s checkout
- Available to the intended shoppers
WardrobeIt must not be used to invent discounts or override Merchant restrictions.
Margin-aware offers, autonomous discounting, or automated incentive decisions are available only where expressly included in the applicable Service and Order Form.
Analytics and Commercial Outcomes
WardrobeIt may provide information concerning:
- Assistant usage
- Conversations
- Recommendations
- Product interactions
- Product questions
- Complete-the-Look activity
- Virtual Try-On activity
- Cart actions
- Supported checkout or order outcomes
- Assisted revenue
Analytics availability depends on the Merchant’s plan, implementation, event tracking, integrations, and connected commerce data.
The Merchant must review metric definitions before relying on reporting.
Terms such as “assisted order,” “assisted revenue,” “attributed revenue,” and “conversion” may be defined through the Merchant’s implementation or Order Form.
Assisted or attributed outcomes show participation under a defined measurement model. They do not prove that WardrobeIt caused an incremental result.
WardrobeIt does not guarantee:
- Conversion growth
- Revenue growth
- Increased order value
- Reduced acquisition cost
- Reduced returns
- Improved profitability
- Increased shopper satisfaction
- Any specific business result
Merchant Data Ownership
As between WardrobeIt and the Merchant, the Merchant retains its rights in Merchant Data.
The Merchant grants WardrobeIt a worldwide, limited, non-exclusive right to host, copy, transmit, process, display, modify, and otherwise use Merchant Data only as reasonably necessary to:
- Provide the Services.
- Operate integrations.
- Fulfill Merchant instructions.
- Protect the Services.
- Prevent fraud and misuse.
- Provide support.
- Comply with legal obligations.
- Perform other activities described in the Privacy Policy or applicable Order Form.
The Merchant represents that it has all rights and permissions required to provide Merchant Data to WardrobeIt and allow WardrobeIt to process it.
WardrobeIt may generate aggregated or de-identified information that does not reasonably identify the Merchant, an Authorized User, or a shopper. WardrobeIt may use such information to operate, secure, analyze, and improve the Services, subject to applicable law and the Privacy Policy.
Shopper Data and Privacy Responsibilities
The Merchant is responsible for providing appropriate notices to shoppers and establishing an appropriate legal basis for the collection and processing of Shopper Data through the Merchant’s storefront.
The Merchant is responsible for:
- Publishing an accurate privacy notice.
- Explaining WardrobeIt’s role where required.
- Obtaining consent where required.
- Managing cookie and tracking permissions.
- Responding to shopper privacy requests.
- Avoiding unnecessary collection of sensitive information.
- Ensuring that installed features comply with applicable laws.
WardrobeIt will process personal data as described in the Privacy Policy and any applicable data-processing agreement.
Where a separate Data Processing Addendum has been executed, it forms part of these Terms.
The Merchant must not intentionally submit or request:
- Government identification numbers
- Full payment-card information
- Account passwords
- Authentication secrets
- Medical records
- Precise biometric identifiers
- Children’s personal data
- Other highly sensitive personal data
unless the processing has been expressly approved by WardrobeIt and is legally permitted.
Privacy Policy
WardrobeIt’s Privacy Policy explains how WardrobeIt collects, uses, stores, discloses, and protects personal information.
By using the Services, you acknowledge that personal information will be handled in accordance with the Privacy Policy.
The Merchant must ensure that its own privacy policy accurately explains its use of WardrobeIt.
Security
WardrobeIt uses administrative, technical, and organizational measures intended to protect the Services and information processed through them.
No system is completely secure, and WardrobeIt cannot guarantee that unauthorized access, data loss, or security incidents will never occur.
The Merchant must:
- Protect account credentials.
- Use appropriate access controls.
- Limit permissions to authorized users.
- Maintain secure ecommerce-platform credentials.
- Keep systems and browsers updated.
- Promptly remove former users.
- Avoid publishing credentials in theme code, screenshots, or documents.
- Report suspected security issues promptly.
You must not perform security testing, penetration testing, scanning, or vulnerability exploitation against the Services without prior written authorization.
Third-Party Services and Integrations
The Services may connect with third-party services, including ecommerce platforms, hosting providers, payment services, analytics tools, communications platforms, AI infrastructure providers, and other integrations.
Third-party services are governed by their own terms, privacy policies, availability, and technical requirements.
WardrobeIt does not control third-party services and is not responsible for:
- Their operation or availability.
- Changes to their APIs.
- Their fees.
- Their data practices.
- Their security.
- Their product decisions.
- Their suspension of the Merchant’s account.
- Their compliance with laws or contractual obligations.
The Merchant authorizes WardrobeIt to exchange data with connected third-party services as required to provide the approved integration.
The Merchant is responsible for maintaining valid third-party accounts and permissions.
Acceptable Use
You must not use the Services to:
- Violate any law, regulation, court order, or contractual obligation.
- Mislead, deceive, defraud, or manipulate shoppers.
- Distribute unlawful, harmful, abusive, discriminatory, or infringing content.
- Promote counterfeit, stolen, prohibited, or unauthorized products.
- Upload malware or malicious code.
- Attempt unauthorized access.
- Interfere with another user or Merchant.
- Circumvent plan, usage, or security limits.
- Extract confidential system information.
- Impersonate another person or organization.
- Create fake shopper activity or fraudulent analytics.
- Process sensitive personal information without authorization.
- Identify or track individuals unlawfully.
- Make decisions concerning employment, credit, insurance, housing, education, healthcare, legal rights, or other high-impact matters.
- Infer sensitive personal traits.
- Facilitate discrimination or unlawful profiling.
- Exploit or endanger minors.
- Generate or distribute deceptive product claims.
- Use WardrobeIt in a safety-critical environment.
WardrobeIt may investigate suspected misuse and may restrict or suspend access where reasonably necessary.
Prohibited Products and Activities
The Merchant must not use WardrobeIt to promote, recommend, or facilitate transactions involving products or activities prohibited by applicable law or WardrobeIt policy.
This may include:
- Illegal goods or services
- Counterfeit products
- Stolen property
- Weapons or explosives
- Controlled substances
- Exploitative sexual content
- Fraudulent financial activity
- Harmful or dangerous products
- Products that violate sanctions or trade controls
- Products that infringe third-party rights
WardrobeIt may refuse or restrict use cases that create legal, safety, security, or reputational risk.
Intellectual Property
WardrobeIt and its licensors retain all rights in and to:
- The Services
- Software
- Source code
- Models
- Algorithms
- Workflows
- Interfaces
- Designs
- Documentation
- Trademarks
- Logos
- Reports
- Aggregated systems
- Proprietary technology
Except for the limited license granted under these Terms, no ownership rights are transferred to the Merchant.
The Merchant retains ownership of its trademarks, product content, catalog information, and other Merchant Data.
The Merchant grants WardrobeIt permission to display the Merchant’s name, logo, and store content solely as necessary to provide the Services. Public marketing use requires separate approval unless otherwise agreed.
Feedback
If you provide suggestions, recommendations, ideas, or feedback concerning WardrobeIt, you grant WardrobeIt a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or payment.
WardrobeIt will not identify you publicly as the source of feedback without permission.
Confidentiality
Each party may receive confidential information from the other.
Confidential information includes non-public business, technical, product, pricing, security, strategy, customer, and financial information that should reasonably be understood as confidential.
The receiving party must:
- Use confidential information only for the business relationship.
- Protect it using reasonable care.
- Disclose it only to personnel and service providers who need access and are subject to confidentiality obligations.
- Not disclose it to unauthorized parties.
Confidential information does not include information that:
- Becomes public without breach.
- Was lawfully known without restriction.
- Is received lawfully from another source.
- Is independently developed without using confidential information.
A party may disclose confidential information where legally required, provided that notice is given where legally permitted.
Trials, Early Access, and Beta Features
WardrobeIt may offer free trials, pilot programs, early-access functionality, experimental tools, or beta features.
Such features may:
- Be incomplete.
- Change without notice.
- Contain errors.
- Have limited support.
- Be unavailable in certain markets.
- Be discontinued.
- Have additional usage restrictions.
Beta and trial features are provided for evaluation unless otherwise stated.
Do not rely on beta functionality for critical commercial operations.
Trial duration, limits, cancellation rules, and conversion terms will be displayed at registration or in the applicable Order Form.
A trial will not automatically convert to a paid subscription unless this is clearly disclosed and accepted.
Subscription Plans and Fees
Paid Services are provided according to the selected plan or Order Form.
The Merchant agrees to pay all applicable:
- Subscription fees
- Usage-based fees
- Setup or implementation fees
- Taxes
- Other approved charges
Prices, plan limits, included features, billing cycles, and payment terms will be shown before purchase or stated in the Order Form.
Unless otherwise stated:
- Fees are charged in the currency shown.
- Fees are exclusive of applicable taxes.
- Payment obligations are non-cancellable.
- Fees are non-refundable except where required by law or expressly stated in an Order Form.
- The Merchant is responsible for taxes other than taxes imposed on WardrobeIt’s income.
If the Merchant provides a payment method, it authorizes WardrobeIt and its payment provider to charge approved fees.
Renewals and Plan Changes
A subscription renews only where automatic renewal is stated in the applicable Order Form, checkout, or subscription confirmation.
The Merchant may manage plan changes through the available account controls or by contacting WardrobeIt.
An upgrade may take effect immediately or on the date shown during confirmation.
A downgrade may take effect at the end of the current billing period and may result in:
- Reduced usage limits
- Loss of features
- Reduced store or user allowances
- Restricted analytics
- Disabled shopper experiences
WardrobeIt will provide available information concerning the effect of a plan change before confirmation.
Late or Failed Payments
If payment is overdue or fails, WardrobeIt may:
- Retry the payment.
- Notify account administrators.
- Restrict premium functionality.
- Suspend shopper-facing features.
- Suspend access to the Merchant Portal.
- Terminate the subscription after reasonable notice.
The Merchant remains responsible for outstanding amounts.
WardrobeIt will not be responsible for losses resulting from a suspension caused by non-payment.
Taxes
The Merchant is responsible for sales, use, value-added, withholding, and similar taxes associated with its purchase of the Services, except taxes based on WardrobeIt’s net income.
Where required, the Merchant must provide valid tax information.
If withholding is legally required, the Merchant must provide appropriate documentation and pay amounts necessary to ensure WardrobeIt receives the amount due, unless prohibited by law.
Support
WardrobeIt may provide support through documentation, the Help Center, email, Merchant Portal resources, or other approved channels.
Support availability, response times, onboarding, training, performance reviews, or dedicated success resources apply only where included in the Merchant’s plan or Order Form.
WardrobeIt does not guarantee a specific support response or resolution time unless stated in a written service-level agreement.
Service Availability and Changes
WardrobeIt may modify, improve, replace, limit, or discontinue parts of the Services.
WardrobeIt may perform maintenance or updates that temporarily affect availability.
Where a material change significantly reduces a paid core feature, WardrobeIt will provide notice where reasonably practicable.
WardrobeIt does not guarantee uninterrupted, error-free, or permanent availability unless a separate service-level agreement states otherwise.
Suspension
WardrobeIt may suspend access immediately where reasonably necessary to:
- Protect the Services or users.
- Respond to a security risk.
- Prevent fraud or misuse.
- Comply with law.
- Address non-payment.
- Prevent harm to third parties.
- Investigate a suspected violation.
- Protect third-party platforms.
- Prevent excessive or abusive use.
Where appropriate, WardrobeIt will provide notice and an opportunity to resolve the issue.
Suspension does not relieve the Merchant of payment obligations already incurred.
Term and Termination
These Terms begin when you first accept them or use the Services and continue until terminated.
The Merchant may terminate a subscription according to the applicable Order Form or subscription settings.
WardrobeIt may terminate the Services where:
- The Merchant materially breaches these Terms.
- Payment remains overdue.
- The Merchant’s use creates legal or security risk.
- The Merchant engages in prohibited conduct.
- A connected third-party service prevents continued operation.
- Continued provision becomes unlawful.
- WardrobeIt discontinues the applicable Service.
Where reasonably possible, WardrobeIt will provide notice before termination.
Effect of Termination
After termination:
- The Merchant’s right to use the Services ends.
- Storefront features may be disabled.
- Integrations may be disconnected.
- Merchant Portal access may be restricted.
- Outstanding fees remain payable.
- Merchant Data may be retained or deleted according to the Privacy Policy, applicable law, Order Form, and retention practices.
The Merchant is responsible for exporting available data before termination where export functionality is included.
WardrobeIt is not responsible for data loss caused by the Merchant’s failure to export data before access ends.
Sections that should reasonably survive termination will remain effective, including payment obligations, confidentiality, intellectual property, disclaimers, indemnification, limitation of liability, and dispute provisions.
Warranties and Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.”
WardrobeIt disclaims all implied warranties, including warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy
- Availability
- Reliability
- Compatibility
- Uninterrupted operation
- Error-free performance
- Commercial success
WardrobeIt does not warrant that:
- The Services will meet every Merchant requirement.
- Every AI response will be accurate.
- Every product recommendation will be suitable.
- Every integration will remain available.
- Every cart action will succeed.
- Virtual Try-On will reflect real-world appearance.
- Use of the Services will increase revenue or conversion.
- All security incidents can be prevented.
- All errors will be corrected.
Nothing in these Terms excludes warranties that cannot legally be excluded.
Indemnification
The Merchant will defend, indemnify, and hold harmless WardrobeIt, its affiliates, officers, directors, employees, contractors, and service providers from claims, damages, losses, liabilities, costs, and reasonable legal fees arising from:
- Merchant Data
- The Merchant’s products or services
- Product claims
- The Merchant’s storefront
- The Merchant’s customer relationships
- Merchant policies
- Shipping, fulfillment, returns, or refunds
- The Merchant’s violation of law
- The Merchant’s breach of these Terms
- The Merchant’s misuse of the Services
- The Merchant’s infringement of third-party rights
- The Merchant’s failure to provide required privacy notices or consent
- An Authorized User’s actions
- Shopper claims relating to Merchant products or transactions
WardrobeIt will provide reasonable notice of a covered claim and allow the Merchant to control the defense, provided that the Merchant may not settle a claim in a manner that admits fault by or imposes obligations on WardrobeIt without written approval.
Limitation of Liability
To the maximum extent permitted by law, WardrobeIt will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages.
WardrobeIt will not be liable for:
- Lost profits
- Lost revenue
- Lost business
- Lost goodwill
- Lost data
- Missed opportunities
- Store downtime
- Failed transactions
- Product unavailability
- Third-party service failures
- Shopper decisions
- Merchant product claims
- Unauthorized access caused by the Merchant
- Business decisions based on analytics or AI outputs
To the maximum extent permitted by law, WardrobeIt’s total aggregate liability arising from or relating to the Services will not exceed the fees paid or payable by the Merchant to WardrobeIt for the Services giving rise to the claim during the twelve months before the event giving rise to liability.
For free trials or Services provided without charge, WardrobeIt’s total liability will not exceed one hundred United States dollars.
These limits apply regardless of the legal theory and even if a remedy fails its essential purpose.
Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, fraudulent misrepresentation, or other non-excludable liability.
Export Controls and Sanctions
You must comply with applicable trade controls, export restrictions, import laws, and sanctions.
You represent that you are not prohibited from using the Services under applicable trade restrictions.
You must not use the Services for prohibited end users, territories, products, or purposes.
WardrobeIt may restrict access where required by applicable trade-control obligations.
Electronic Communications
You agree to receive account, security, billing, service, and legal communications electronically.
WardrobeIt may communicate through:
- The Merchant Portal
- Account notifications
- The registered business email
- Service notices
- Website notices
You are responsible for maintaining a valid email address.
Electronic notices satisfy written-notice requirements where legally permitted.
Marketing communications will be handled according to your preferences and applicable law.
Changes to These Terms
WardrobeIt may update these Terms to reflect changes in:
- The Services
- Applicable laws
- Security requirements
- Business practices
- Commercial offerings
- Third-party integrations
The updated version will include a revised “Last Updated” date.
Where required, WardrobeIt will provide advance notice of material changes.
Continued use after the effective date of revised Terms constitutes acceptance where legally permitted.
If you do not agree with revised Terms, you must stop using the Services and terminate your subscription according to the applicable agreement.
Governing Law
These Terms are governed by the laws applicable to the WardrobeIt contracting entity identified in the applicable Order Form, checkout confirmation, subscription record, or invoice, without regard to conflict-of-law principles.
If a separate written agreement identifies a governing law or forum, that agreement controls.
Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief to protect confidential information, intellectual property, security, or data.
Dispute Resolution
Before starting formal proceedings, the parties agree to attempt in good faith to resolve a dispute through written notice and commercial discussion.
A dispute notice should describe:
- The issue
- Relevant facts
- Requested resolution
- Supporting information
Dispute notices must be sent to hi@wardrobeit.com.
If the dispute is not resolved within thirty days after receipt of notice, either party may pursue available legal remedies in the courts with jurisdiction under the governing-law provision.
Nothing in this section limits non-waivable statutory rights.
Force Majeure
Neither party will be liable for delay or failure caused by events beyond its reasonable control, including:
- Natural disasters
- War
- Terrorism
- Civil unrest
- Government action
- Labor disputes
- Utility failures
- Internet failures
- Cloud-service outages
- Cyberattacks
- Epidemics
- Third-party platform failures
The affected party must use reasonable efforts to reduce the impact and resume performance.
Payment obligations for Services already provided are not excused.
Assignment
You may not assign or transfer these Terms without WardrobeIt’s written consent.
WardrobeIt may assign these Terms in connection with:
- A merger
- Acquisition
- Corporate reorganization
- Sale of assets
- Transfer to an affiliate
Any prohibited assignment is void.
Relationship of the Parties
The parties are independent contractors.
These Terms do not create:
- A partnership
- Joint venture
- Agency
- Employment relationship
- Franchise
- Fiduciary relationship
Neither party may bind the other without written authority.
No Third-Party Beneficiaries
These Terms are for the benefit of WardrobeIt and the Merchant.
No other person has a right to enforce them unless applicable law or a separate written agreement provides otherwise.
Waiver
Failure to enforce a provision does not waive the right to enforce it later.
A waiver must be in writing and applies only to the specific circumstance stated.
Severability
If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or removed.
The remaining provisions will remain effective.
Entire Agreement
These Terms, the Privacy Policy, the applicable Order Form, any executed Data Processing Addendum, and any other incorporated agreement form the complete agreement concerning the Services.
They replace prior discussions, proposals, and agreements concerning the same subject.
If documents conflict, the following order generally applies:
- An expressly negotiated Order Form or written agreement
- A Data Processing Addendum for personal-data matters
- These Terms
- Referenced policies and documentation
